Team/Function Overview
The EMEA Legal Issuance Solutions team supports the Rates, GSP, MAG, and Equities issuance businesses. The team works closely with the product structuring and trading desks in London, New York, Japan and APAC, providing essential partnership to the product lawyers supporting those desks, as well as to business management and, where applicable, sales teams. The team act as an important partner to provide advice and assistance at all stages of the product lifecycle, including assisting in the structuring of transactions, managing the trade execution process, advising on regulatory matters and drafting, reviewing and negotiating documentation of all types.
These businesses are involved in:
(1) the development and distribution of a wide range of structured investment products (including notes, warrants, repackagings and funds) for institutions, family offices, discretionary wealth managers, private banks and retail distributors, and are linked to a variety of asset classes, including equities, bonds, interest rates, credit, commodities and FX; and
(2) the issuance of structured notes (including credit-linked notes and repackagings) primarily to institutional investors.
Role / Position Overview
The position offers a commercially-minded paralegal or newly qualified solicitor, the opportunity to be part of the EMEA Legal Issuance Solutions team supporting Citi’s global structured products issuance activity across the Markets & Securities Services (Markets) division of Citi’s Institutional Clients Group, including the G10 Rates (Rates), Global Spread Products (GSP), Multi Asset Group (MAG), and Equities businesses.
The role involves providing legal advice and transaction management support for the Rates, GSP, MAG and Equities businesses in connection with structured products activity across EMEA, APAC, Japan, US and LatAm, as applicable. The responsibilities of the team include the maintenance of a number of structured debt issuance programmes (including Citi balance sheet issuers and SPVs); management of product issuance; advising on legal and regulatory requirements; and assisting the business in product innovation, strategic initiatives and technology projects.
Responsibilities
Have direct contact with the sales teams and structuring/packaging desks across EMEA, NAM and APAC on a day-to-day basis
Have the opportunity to build relationships with key business partners, internal legal colleagues and external counsel
Have responsibility for the management of a number of transactions at any one time
Draft, review and analyse the legal documentation for Structured Products originated by the Multi Asset Group, Rates and Global Spread Products businesses
Be involved in managing and documenting product life cycle events, such as unwinds, amendments and restructurings
Draft, negotiate and advise on Distribution Agreements governing the relationship between Citi and third party distributors of Citi Structured Products
Have the opportunity to work on document templating and automation projects to improve existing processes and procedures and create efficiencies, including by embracing technology solutions
Development Value
Undertake, as part of the wider Belfast Markets Legal team, a broad variety of tasks many of which entail direct and regular interactions with senior stakeholders, both regionally and globally, broadening their experience of Citi’s ICG products and services
Experience, absorb and apply in practice comprehensive training on Citi’s issuance businesses and the products offered
Build on pre-existing project management and prioritisation skills
Develop an understanding of the regulatory environment which is relevant to the issuance and sale of structured investment products
Work on investment products across the full range of asset classes, including equities, rates, commodities, and FX
Knowledge/Experience
Experience working in a legal or large service orientated organisation.
Good general commercial awareness is required – specific financial services experience (within either a legal or non-legal function) is desirable but not essential.
Direct experience of structured products or derivatives (such as ISDA Master Agreements) is desirable but not essential as the successful candidate will be provided with the technical training necessary to perform the role.

Qualifications
The successful candidate must have a high quality academic record, ideally with a degree qualification in law and or have a obtained an appropriate legal qualification (although a legal qualification is not required).
Exceptional candidates who do not meet these criteria may be considered for the role provided they have the necessary skills and experience.
