Legal Counsel Commercial Law Global Banking Edinburgh or Manchester

The Role

This is a position in the Commercial Law Group of the Bank involving vendor management and other third-party governance activities working across the UK and EMA

Key Responsibilities

  • Negotiations of vendor contracts focusing primarily on technology procurement (e.g., software development, licensing and maintenance agreements, application hosting agreements, outsourcing agreements and hardware leasing and purchase agreements) as well as agreements for procurement of other goods and services including consulting services, business process outsourcing, and information technology-related services.
  • Support and advise the firm’s Third-Party Governance and Procurement groups to maintain, enhance and execute a robust governance program that complies with all applicable global regulations and the firm’s risk appetite.
  • Keeping up to date on the latest regulatory developments in the fields of vendor management and third-party governance,
  • Guiding the implementation of changes necessary to comply with regulatory changes,
  • Advising Line of Business attorneys in client contract negotiations,
  • Assistance in preparations for discussions with and examinations by regulatory agencies.

Candidate Profile

  • Legal Counsel with in-house or Private Practice experience in commercial contracts ideally in negotiating software licensing and development contracts, technology and business outsourcing transactions
  • 3 years + PQE
  • Experience with vendor management and third-party governance
  • Demonstrable ability to quickly analyse problems and to devise and deliver appropriate solutions;
  • Knowledge of regulatory guidance on outsourcing and other third party relationships (e.g., EBA, FFIEC, HKMA)
  • Knowledge of global privacy laws (e.g., GDPR, GLBA, CCPA) is a plus
  • Ability to handle and prioritize multiple tasks to deliver timely, excellent work product in a pressurized environment.
  • Ability to interact effectively with and guide internal stakeholders and legal counsel.
